Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of Upay (“Upay”, “we”, “us”). By registering, accessing, or using the Services, you agree to be bound by these Terms.
1. Definitions
- Services: Upay Global Accounts, Crypto Wallet, Upay U Card, payment APIs, and admin console.
- User: any individual or entity that registers for or uses the Services.
- Assets: fiat currencies and crypto assets.
2. Eligibility & Accounts
- You must be at least 18 years old and have full capacity to contract.
- You must provide accurate and complete information, keep it up to date, and complete KYC/AML procedures as required.
- You are responsible for safeguarding your credentials and all activities under your account.
3. Services
- Opening global accounts; receiving and making payments and settlements.
- Crypto wallet custody/self-custody (as applicable), transfers, and on-chain transactions.
- Upay U Card (virtual/physical) issuance, authorization, limits, and reporting.
- Fiat/crypto exchange (where available).
- Admin console, risk controls, and reporting/export.
We may modify, add, or remove features or services and will notify you via announcements or in-app notices.
4. Compliance & Acceptable Use
- You must not use the Services for unlawful or prohibited purposes, including money laundering, terrorist financing, fraud, gambling, sale of illegal goods, or sanctions evasion.
- You must not interfere with or disrupt the Services, attempt unauthorized access, or compromise security.
- We may review, delay, restrict, freeze, or terminate transactions or accounts for compliance or risk reasons.
5. Fees & Settlement
- Fees, rates, FX, and settlement rules are as published on the Site/app or set out in separate agreements with you.
- Bank, clearing, or blockchain network delays or issues may affect posting times.
6. Risk Disclosure
- Regulatory Risk: changes in laws or regulations may limit or discontinue Services.
- Technical/System Risk: outages, failures, or attacks may disrupt transactions.
- Market/FX Risk: if exchange is involved, price or FX movements may cause loss.
- Blockchain Immutability: on-chain transactions are irreversible; act prudently.
7. Limitation of Liability
- To the maximum extent permitted by law, we are not liable for losses due to force majeure, third parties, or your own acts/omissions.
- We are not liable for indirect, incidental, punitive, or consequential damages (including lost profits or data).
8. Intellectual Property
The Services and related software, interfaces, logos, documentation, and content are protected by IP laws. You may not copy, modify, distribute, or otherwise exploit them without our consent.
9. Privacy
Your Personal Information is handled in accordance with our Privacy Policy published on ubdpay.com.
10. Suspension & Termination
- You may request account closure after settling fees and pending transactions.
- We may suspend or terminate all or part of the Services if you breach laws or these Terms, or for compliance/security reasons.
11. Governing Law & Dispute Resolution
These Terms are governed by the laws of Hong Kong. Disputes shall be finally resolved by arbitration at the Hong Kong International Arbitration Centre (HKIAC) under its rules, seated in Hong Kong.
12. Changes
We may amend these Terms to reflect legal or business changes. Continued use after publication constitutes acceptance.
